1. Introduction
Before you start using TooEasy’s products and resources, we need you to look through and accept these terms. These are your legal rights and obligations, so please read everything. If you don’t agree to our terms, then you can’t use our products and services.
1.1 When we say “you” or “your”, we mean both you and any entity or firm you’re authorised to represent.
1.2 When we say “TooEasy”, “we”, “our” or “us”, we’re talking about TooEasy Labs, the entity you contract with and/or pay fees to to use our Products and Services.
2. TooEasy Products & Services
2.1 We may say “Products” or “Services” to represent any of our Products and Services, including Tools, Page Templates, Components, PowerUps and Resources. This list of Products and Services may change at any time. Any future Products that we create will also be covered under these Terms and the Agreement.
3. Your Account
3.1 To use any of our products and services, even free ones, you'll need to create an account. Please provide accurate, current information, including a valid email when registering. We will use this information to communicate with you and provide important updates.
3.2 Your contact information helps us to verify ownership of your account. If you lose access to your email, we won't be able to verify your account ownership. This could mean permanently losing access to your account and any associated work. We won't be held responsible for any losses resulting from you losing access to your email account.
3.3 Don't share your password or other login details. You're responsible for keeping it confidential and for anything that happens if it is used by someone other than you.
4. Licence & Usage
4.1 Upon purchase or download, we grant you a non-exclusive, non-transferable licence to use TooEasy’s Products & Services for personal or commercial purposes, subject to the restrictions and limitations in these terms.
- You may not resell or redistribute any products (modified or unmodified). This includes transferring products to other accounts or listing products in a way that makes them accessible to others.
- PowerUps are licensed per Webflow project and may not be reused across multiple projects without purchasing additional licences.
- You are allowed to use Components and Pages on multiple projects, but you must not distribute them independently.
- You may not use Components or Pages to make a theme, template or derivative work of any product to sell on any marketplace.
- You may not copy and store Pages or Components with the intent to use them without an active subscription.
- You may not modify, copy, adapt, reproduce, disassemble, decompile, reverse engineer or extract the source code of any part of our Products or Services.
- You may not use the templates and components in any way that violates any local, national, or international laws and regulations.
4.2 We own everything we’ve put into our Products & Services unless otherwise stated and excluding content owned by others. All products remain the intellectual property of TooEasy. For the purposes of this agreement, Intellectual Property Rights means any and all intellectual and industrial protection rights throughout the world including copyright (past, present and future copyrights and rights in the nature of or analogous to copyright), inventions, patents, designs (whether registrable or not), registered and unregistered trademarks. You do not acquire ownership of the Products or Services, only the right to use them according to this agreement. Any unauthorised use or distribution will be considered a violation of our intellectual property rights.
4.3 For Products and Services purchased on a subscription basis, we grant you the right to use the products and services included within your plan for as long as you continue to pay for the subscription, until the subscription is terminated, or until your access is revoked.
4.4 For Products and Services purchased on a lifetime basis, you can make a one-time payment to have access for one Webflow website or project only. When we refer to ‘lifetime’ we are talking about the Product or Service lifetime, not your lifetime. This means that for as long as the Product or Service is made available by TooEasy, you will have access to it. We reserve the right to retire any one of our Products or Services, for any reason. If we retire a Product or Service every effort will be made to provide notice to you. We won't be held responsible for any losses resulting from a discontinuation of our Products or Services.
4.5 When you use our Products and Services, you may create various types of content, including websites or web applications. This is referred to as "User Content." You're responsible for any User Content you create or manage, but by using our Products and Services you're giving us a licence to use your User Content in specific ways. This licence is non-exclusive, royalty-free, transferable, sub-licensable, and worldwide. This licence allows us to use, store, modify, reproduce, distribute, and display your User Content as needed to provide and improve our Services.
4.6 By using our Products & Services, you're giving us permission to feature your User Content or your name, trademarks, logos, or other identifying marks, collectively called “Marks” in our marketing materials. If you do not wish for us to publish your User Content or Marks, you can request to have them removed by emailing hello@tooeasy.dev.
5. Billing & Payments
5.1 Some of our products are available to use without charge. The pricing of these items may change at any time. These terms of use apply to any free product.
5.2 Your use of our Products & Services generally requires you to pay a fixed fee per project or monthly subscription fee. We may update or amend pricing from time to time. If you are a subscriber, and we make changes to our pricing we’ll make every effort to let you know in advance so you have the opportunity to cancel or modify your plan. If you live in Australia, subscription fees will be inclusive of GST.
5.3 In order to continue accessing our Products and Services as a subscriber, you need to make timely payments based on the pricing plan you selected. Please make sure we have accurate payment information. If we don’t receive timely payments, we may suspend access to your subscription until the payment is made.
6. Privacy & Data Use
6.1 When you enter or upload your data into our services, we don’t own that data but you grant us a licence to use, copy, transmit, store, analyse, and back up all data you submit to us through our services, including personal data, to:
- Enable you to use our Products & Services;
- Allow us to improve or create new Products and Services;
- Communicate with you about your Purchases or Subscription; and
- Send you information we think may be of interest to you.
7. Maintenance, Support & Updates
7.1 We strive to maintain the availability of our Products & Services. On occasion, we need to perform maintenance on our Products & Services, and this may require a period of downtime. We try to minimise any downtime. Where maintenance is planned, we’ll attempt to notify you in advance.
7.2 If you identify a problem or fault with our Products or Services, you can contact us for assistance. We will attempt to resolve any issues within 3-4 business days.
7.3 If you require support in using our Products or Services, please ensure you have read through the supplied support documentation and videos before contacting us. We may, at our discretion, provide support and assistance, but are not obligated to do so.
7.3 We may release new updates, modifications and enhancements to our Products and Services, and in some cases discontinue them. Where this occurs, we’ll endeavour to notify you.
8. Termination
8.1 Your subscription will continue for the period covered by the subscription fee paid or payable.
8.2 At the end of each billing period, these terms automatically continue for a further period of the same duration as the previous one, provided you continue to pay the subscription fee in accordance with the pricing plan.=
8.3 You may choose to terminate your subscription at any time. You’ll still need to pay all relevant subscription fees for the billing period you have chosen.
8.4 TooEasy may terminate your subscription at any time by providing you with one month’s written notice. We may also terminate or suspend your subscription or access immediately if:
- You breach any of these terms and do not remedy the breach within 14 days after receiving notice of the breach, or
- You breach any of these terms and the breach cannot be remedied.
If you fail to pay subscription fees, we will take reasonable steps to notify you of the failure. Subject to the processing and payment timing of your bank or credit or debit card provider:
- If you do not pay within 7 days of the date on which the subscription fees became due and payable, we may suspend your subscription, and
- If you do not pay within 14 days from the date on which the subscription fees became due and payable, we may terminate your subscription. You can reactivate your subscription by paying any outstanding subscription fees in full.
8.5 Subject to section 11.3, no refund is due to you if you terminate your subscription or if we terminate it in accordance with these terms.
9. Liability and Indemnity
9.1 You indemnify us against all losses, costs (including legal costs), expenses, demands or liability that we incur arising out of, or in connection with, a third-party claim against us arising from your use of our services or any third-party product, except for losses arising from:
- a breach of these terms by TooEasy, its employees, contractors or agents, or
- any gross negligence, wilful misconduct, fraud or material error that was solely the responsibility of TooEasy, its employees, contractors or agents.
For this indemnity, we will take reasonable mitigation measures where possible.
9.2 Our services and all third-party products are made available to you on an “as is” basis. Subject to the exclusion in section 11.3 and the rights you have under the laws in the country where you live, we disclaim all warranties, express or implied, including any implied warranties of non-infringement, merchantability and fitness for a particular purpose.
9.3. Our liability to you in connection with our Products & Services or these terms, in contract, tort (including negligence) or otherwise, is limited as follows:
- We have no liability arising from your use of our Products & Services for any loss of revenue or profit, loss of goodwill, loss of customers, loss of capital, loss of anticipated savings, damage to reputation, loss in connection with any other contract, or indirect, consequential, incidental, punitive, exemplary or special loss, damage or expense.
- For loss or corruption of your data, our liability will be limited to taking reasonable steps to try and recover that data from our available backups.
- Our total aggregate liability to you in any circumstances is limited to the total amount you paid us for the Product or for your subscription in the 12 months immediately preceding the date on which the claim giving rise to the liability arose.
- Regardless of the above, our liability to you will not be limited if we aren’t legally allowed to limit it.
10. Disputes
10.1 Most issues can be resolved by contacting our support team. If we’re unable to resolve your complaint to your satisfaction, we agree to resolve those disputes through binding arbitration or small claims court.
11. Additional Terms
11.1 We aren’t liable to you for any failure or delay in performance of any of our obligations under these terms arising out of any event or circumstance beyond our reasonable control.
11.2 Any notice you send to TooEasy must be sent to hello@tooeasy.dev. Any notices we send to you will be sent to the email address you’ve provided us upon purchase.
11.3 In some countries, there may be non-excludable warranties, guarantees or other rights provided by law (non-excludable guarantees). If you reside in those countries, your country’s non-excludable guarantees still apply – these terms do not exclude, restrict or modify them. Except for non-excludable guarantees and other rights you have that we cannot exclude, we’re bound only by the express promises made in these terms. Our liability for breach of a non-excludable guarantee is limited, at our option, to repairing, refunding or resupplying the product or service (unless the non-excludable guarantee says otherwise).
11.4 Nothing in these terms is to be construed as constituting a partnership, joint venture, employment or agency relationship between you and TooEasy.
11.5 We may transfer these terms - or any of our rights or obligations in these terms - to another entity as it deems appropriate. Where the transfer relates to TooEasy or a part of TooEasy being sold to a third party or merged with a third party, we will give you written notice of that.
11.6 If we make changes to these terms, we’ll let you know. You can keep track of changes to our terms by referring to the version and the date last updated at the top of the terms. We will reasonably endeavour to provide you with 30 days’ notice of material changes before they become effective, unless we need to make immediate changes for reasons we don’t have control over. When we notify you, we’ll do it by email or by posting a visible notice through our services. If we decide that a change isn’t material, we may not notify you. If you find a modified term unacceptable, you may terminate your subscription or discontinue use of our Products and Services.
11.7 If there’s any part of these terms that either one of us is unable to enforce, we’ll ignore that part but everything else will remain enforceable.
